Effective Date: May 15, 2026
These Website Terms of Use and Clinical-Wellness Disclaimer ("Terms") are entered into by and between you and Vitaline Health MSO LLC and its affiliates ("Vitaline Health," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Website, including any content, functionality, scheduling tools, patient inquiry forms, portals, memberships, courses, messaging channels, telehealth-related access points, and other online services offered by Vitaline Health.
Please read these Terms carefully before you start to use the Website. By using the Website, by clicking to accept or agree when that option is made available, by booking an appointment, by submitting a form, or by enrolling in a service, program, membership, or course, you accept and agree to be bound by these Terms and the Vitaline Health Privacy Policy. If you do not agree, you must not access or use the Website.
1. Scope of ServicesVitaline Health may offer educational content, wellness coaching, functional nutrition support, fitness guidance, health and wellness coaching, and access to services provided by licensed clinicians, which may include physicians, nurse practitioners, physician assistants, and other authorized professionals, depending on the service line and jurisdiction.
Some services may be strictly educational or coaching-based, while other services may involve a separate clinical relationship with a licensed provider. The nature of the relationship depends on the specific service actually engaged, the provider involved, the state where the patient is located, credentialing and licensure rules, and any separate informed consent, intake, financial, telehealth, or treatment documents executed by the individual.
2. Website Content vs. Clinical CareUnless expressly stated otherwise in a separate written agreement, clinical intake, informed consent, patient agreement, or treatment relationship, the Website itself and the general content published on it are for informational and educational purposes only and do not by themselves create a provider-patient relationship.
Reading website content, receiving newsletters, downloading resources, participating in free trainings, or communicating through general website forms does not establish a physician-patient, nurse practitioner-patient, physician assistant-patient, dietitian-patient, trainer-client, coach-client, therapist-patient, or other licensed professional relationship.
A clinical relationship is created only when a licensed clinician employed by, contracted with, or practicing through Vitaline Health has accepted the individual as a patient through the required intake, consent, and legal-compliance process and where such relationship is permitted by applicable law.
3. Medical Disclaimer and Emergency LimitationWebsite content, blog posts, handouts, videos, educational materials, group programs, and non-clinical coaching services are not medical advice and are not intended to diagnose, treat, cure, or prevent any disease or condition unless explicitly delivered as part of a lawful clinician-patient relationship.
No one should disregard or delay seeking professional medical advice because of information obtained from the Website. In an emergency, call 911 or contact local emergency services immediately.
The Website is not intended for urgent care, emergency response, crisis intervention, or continuous medical monitoring. Messages sent through forms, email, SMS, or portal features may not be reviewed immediately and must not be used to communicate urgent or emergent medical issues.
4. Coaching and Non-Clinical ProvidersVitaline Health may also work with functional nutrition professionals, certified personal trainers, and health and wellness coaches. Those individuals do not provide medical diagnosis, prescription authority, or licensed medical treatment unless they separately hold and are acting under an applicable professional license within a valid clinical relationship.
Coaching, training, educational support, accountability services, and lifestyle guidance are intended to complement, not replace, medical care. Non-clinical personnel may discuss general wellness, habits, nutrition, movement, and health goals, but they do not act as a substitute for a licensed medical professional.
5. Remote health consultations and State-Law LimitsAny remote consultation, or virtual clinical service is subject to provider licensure, scope-of-practice requirements, supervision or collaboration requirements where applicable, payer rules, technology limitations, and the laws of the jurisdiction where the patient is located at the time of service.
Vitaline Health reserves the right to decline, reschedule, limit, or terminate access to clinical or remote health and wellness services where licensure, jurisdictional, safety, technology, or compliance concerns exist.
6. No Guarantee of ResultsVitaline Health does not guarantee any specific health, wellness, weight-loss, symptom, fitness, laboratory, lifestyle, business, financial, or other outcome. Individual results vary significantly based on medical history, adherence, physiology, medications, environment, timing, consistency, and factors outside the Company’s control.
Testimonials, examples, case studies, before-and-after descriptions, or success stories are illustrative only and should not be interpreted as a promise or guarantee that any individual will achieve similar results.
7. User ResponsibilitiesYou are responsible for providing accurate, complete, and current information when using the Website or engaging with services. You agree not to rely on the Website as a substitute for individualized medical evaluation where such evaluation is reasonably necessary.
You agree to consult your own licensed healthcare professionals regarding symptoms, diagnoses, medications, contraindications, treatment decisions, and any questions requiring individualized medical judgment unless and until you are formally under the care of an authorized Vitaline Health clinician.
8. Privacy, PHI, and CommunicationsVitaline Health’s collection and use of personal information is governed by its Privacy Policy. Some communications or workflows may involve third-party scheduling, messaging, portal, laboratory, course-hosting, payment, or telehealth platforms, each of which may have separate terms and privacy practices.
Users should not submit highly sensitive or urgent information through unsecured or general website channels unless expressly instructed to do so. Where clinical services are offered, supplemental consent, HIPAA-related notices, patient financial policies, and platform-specific disclosures may apply.
9. Intellectual PropertyAll Website content, including text, graphics, branding, downloads, videos, forms, frameworks, protocols, and software features, is owned by or licensed to Vitaline Health and is protected by applicable intellectual property laws.
No content may be copied, reproduced, distributed, republished, modified, displayed, transmitted, or exploited without prior written permission, except for limited personal, non-commercial use expressly permitted by law or by written authorization.
10. Third-Party Services and LinksThe Website may contain links to or integrations with third-party websites, applications, laboratories, dispensaries, payment processors, analytics tools, telehealth vendors, scheduling platforms, membership platforms, and educational tools. Vitaline Health does not control and is not responsible for the content, availability, policies, or practices of those third parties.
Any purchase, communication, or reliance involving a third-party platform is solely between the user and that third party unless expressly stated otherwise in writing.
11. Disclaimer of WarrantiesThe Website and all related content, functions, and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Vitaline Health disclaims all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.
Vitaline Health does not warrant that the Website will be secure, error-free, uninterrupted, or free from viruses, malware, or other harmful components.
12. Limitation of LiabilityTo the fullest extent permitted by law, Vitaline Health and its owners, managers, members, officers, directors, employees, clinicians, contractors, affiliates, agents, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or related to use of or inability to use the Website, educational materials, coaching services, or non-emergency communication channels.
Where a claim is permitted notwithstanding the foregoing, the maximum aggregate liability of Vitaline Health arising out of or relating to the Website or non-clinical services shall not exceed the amount actually paid, if any, by the user to Vitaline Health for the specific non-clinical service giving rise to the claim.
Nothing in these Terms is intended to waive rights or obligations that cannot lawfully be disclaimed under applicable healthcare, consumer-protection, or professional-licensure law.
13. IndemnificationYou agree to indemnify, defend, and hold harmless Vitaline Health and its owners, managers, officers, directors, employees, clinicians, contractors, affiliates, and agents from and against claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your misuse of the Website, violation of these Terms, unlawful conduct, infringement of rights, or submission of false, misleading, or unauthorized information.
14. Clinical Documents Control Where ApplicableIf you become a patient of a licensed Vitaline Health clinician, separate patient-facing documents may apply, including informed consent, privacy notices, telehealth consent, financial policies, cancellation policies, prescribing policies, laboratory-consent forms, collaborative-care disclosures, and treatment agreements. In the event of a conflict between these Website Terms and a patient-specific signed clinical document, the patient-specific clinical document will control for that care relationship to the extent permitted by law.
15. Governing Law and VenueThese Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Website shall be brought exclusively in a court of competent jurisdiction located in Delaware, except to the extent another forum is required by non-waivable law or by a patient-specific arbitration or dispute-resolution agreement.
16. ModificationsVitaline Health may revise these Terms at any time by posting an updated version on the Website with a revised effective date. Continued use of the Website after any update constitutes acceptance of the revised Terms to the extent permitted by law.
17. Severability and Entire AgreementIf any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and any other posted legal notices, constitute the entire agreement regarding Website use unless superseded by a separate signed agreement.
